(THE CORPORATION), A NEW JERSEY NONPROFIT CORPORATION, OWNED AND OPERATED A 75-UNIT APARTMENT PROJECT FOR LOW-INCOME SENIOR CITIZENS, KNOWN AS GESHER HOUSE (THE PROJECT), LOCATED IN CHERRY HILL, NEW JERSEY. THE PROJECT WAS REGULATED BY THE U.S. DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT (HUD) WITH RESPECT TO RENTAL CHANGES, OPERATING EXPENSES, DISTRIBUTIONS TO OFFICERS OR DIRECTORS AND OPERATING METHODS. THE CORPORATION'S MAJOR PROGRAM WAS SECTION 202, SUPPORTIVE HOUSING FOR THE ELDERLY.CONTINUED ON SCHEDULE O.DURING 2019, AN ASSET PURCHASE AGREEMENT (APA) WAS ENTERED INTO WITH CAPITAL REALTY GROUP, INC. (AN UNRELATED BUYER) AND THE CORPORATION AND A RELATED ENTITY, BERNARD DUBIN HOUSE, L.P. (THE PARTNERSHIP). EFFECTIVE JUNE 1, 2020, THE CORPORATION CLOSED THE APA AND SOLD SUBSTANTIALLY ALL ASSETS AND TRANSFERRED CERTAIN LIABILITIES USED IN OR INCIDENTAL TO THE CONDUCT OF THE BUSINESS TO THE BUYER AND THIS REPORTING ENTITY IS WINDING DOWN. THE BUYER ASSUMED THE MORTGAGE FOR THE CORPORATION. THE CORPORATION WILL CONTINUE UNTIL THE FILING REQUIREMENTS FOR THIS REPORTING ENTITY ARE COMPLETED, AT WHICH TIME THERE WILL THEN BE NO REMAINING NET ASSETS IN THIS REPORTING ENTITY.
