TO PROVIDE TIMELY FINANCIAL ASSISTANCE TO THE EMPLOYEES AND FORMER EMPLOYEES OF ENTITIES IN THE THOMAS KELLER RESTAURANT GROUP.

UNTIL RECENTLY, THERE WERE APPROXIMATELY 1,200 THOMAS KELLER ENTITY EMPLOYEES WORKING IN THE RESTAURANT AND HOSPITALITY INDUSTRY. FROM TIME TO TIME, QUALIFIED DISASTERS HAVE IMPACTED THE LIVES OF SOME OF THESE INDIVIDUALS, AND BOTH THE THOMAS KELLER RESTAURANT GROUP AND THE THOMAS KELLER ENTITY EMPLOYEES HAVE EXPRESSED A DESIRE TO PROVDE FINANCIAL ASSISTANCE TO SUCH INDIVIDUALS IN THEIR TIMES OF NEED. MOST RECENTLY, THE OUTBREAK OF THE NOVEL CORONAVIRUS (COVID-19) HAS IMPACTED A SUBSTANTIAL PORTION OF THESE INDIVIDUALS.THE KELLER RESTAURANT RELIEF FUND ACCEPTS CONTRIBUTIONS AND PROVIDES FINANCIAL ASSISTANCE TO AFFECTED THOMAS KELLER ENTITY EMPLOYEES, AND, WHERE APPROPRIATE, THEIR FAMILIES. THE FUND IS MANAGED BY A BOARD OF DIRECTORS COMPRISED OF THOMAS KELLER ENTITY EMPLOYEES, NO MORE THAN A MINORITY OF WHOM ARE SUBSTANTIAL INFLUENCERS OF THE THOMAS KELLER RESTAURANT GROUP. THE BOARD SELECTS THE RECIPIENTS OF FINANCIAL ASSISTANCE IN ACCORDANCE WITH THE GRANT-MAKING POLICY ADOPTED BY THE BOARD. ACCORDINGLY, THE THOMAS KELLER RESTAURANT GROUP'S RANK AND FILE EMPLOYEE REPRESENTATIVES HAVE MAJORITY CONTROL OVER ALL DECISION MAKING WITH RESPECT TO QUALIFICATION FOR AND AWARD OF GRANTS.THE BENEFICIARIES ARE CHOSEN BY THE BOARD BASED ON AN OBJECTIVE DETERMINATION OF NEED. GRANTS ARE MADE TO REIMBURSE OR PAY REASONABLE AND NECESSARY PERSONAL, FAMILY OR LIVING EXPENSES INCURRED BY EMPLOYEES, FORMER EMPLOYEES OR THEIR FAMILIES AS A RESULT OF A QUALIFIED DISASTER OR OTHER EMERGENCY HARDSHIP, INCLUDING BUT NOT LIMITED TO, HEALTHCARE, EDUCATION, SHELTER, MEALS AND CHILDCARE, PROVIDED THAT UNDER NO CIRCUMSTANCES ARE GRANTS PROVIDED FOR EXPENSES THAT COULD OTHERWISE BE PAID FOR BY INSURANCE OR OTHER REIMBURSEMENTS.
