EFFECTIVE JANUARY 1, 2015, NCT AND OCT ENTERED INTO AN ASSUMPTION AND ASSIGNMENT AGREEMMENT OF SUBSTANTIALLY ALL NCT'S ACCOUNTS AND CONTRACTS TO OCT AS PART OF DESIGNING AND PLANNING FOR A NEW BUSINESS MODEL.
