SAN MIGUEL HOUSING DEVELOPMENT FUND COMPANY, INC. (THE "COMPANY") IS A NOT-FOR-PROFIT AND WAS ORGANIZED FOR THE PURPOSE OF DEVELOPING AND OPERATING HOUSING FOR PERSONS OF LOW INCOME. THE COMPANY IS THE OWNER OF THE HOUSING FACILITY LOCATED AT 2386 RYER AVENUE, BRONX, NEW YORK, KNOWN AS THE SAN MIGUEL RESIDENCE (THE "PROJECT"). THE SOLE MEMBER OF THE COMPANY IS RYER AVENUE HOUSING DEVELOPMENT FUND CORPORATION.

TO ENGAGE IN ACTIVITIES TO PROMOTE AND TO IMPROVE THE AVAILABILITY OF HOUSING OPPORTUNITIES FOR ALL PERSONS, TO COMBAT COMMUNITY DETERIORATION, AND TO INFORM AND TO EDUCATE THE GENERAL PUBLIC AND MEMBERS OF THE CONSTRUCTION AND PROPERTY MANAGEMENT INDUSTRY ON ISSUES AFFECTING THE AVAILABILITY OF HOUSING OPPORTUNITIES SO THAT THE GENERAL WELFARE OF THE SOUTHEASTERN AREA OF THE STATE OF MICHIGAN SHALL BE ENHANCED AND IMPROVED AND TO ENGAGE IN SUCH ADDITIONAL CHARITABLE, EDUCATIONAL AND SCIENTIFIC ACTIVITIES WITHIN THE MEANING OF SECTION 501 (C) (3) OF THE CODE AS THE BOARD OF TRUSTEES MAY FROM TIME TO TIME DETERMINE.
