Describe the Organization's Program Activity:

TO PROMOTE, SUPPORT, AND FURTHER THE PENNSYLVANIA STATE UNIVERSITY; TO PROMOTE HEALTH THROUGH THE MANAGEMENT AND/OR SUPPORT OF FACILITIES AND OTHER ASSETS THAT PROVIDE HEALTH CARE SERVICES; TO INTEGRATE COMMUNITY-BASED AND ACADEMIC MEDICAL CENTER HEALTH CARE IN ORDER TO ACHIEVE IMPROVED OUTCOMES AND LIMIT THE COSTS OF CARE VIA IMPROVED EFFICIENCIES; TO SUPPORT FINANCIALLY AND OPERATIONALLY THE PENNSYLVANIA STATE UNIVERSITY COLLEGE OF MEDICINE; TO SUPPORT THE PENNSYLVANIA STATE UNIVERSITY IN THE PERFORMANCE OF ITS DUTIES AS SUCCESSOR TRUSTEE OF THE MILTON S. HERSHEY MEDICAL CENTER PURSUANT TO THAT CERTAIN DECREE OF THE ORPHANS COURT OF DAUPHIN COUNTY, PENNSYLVANIA DATED DECEMBER 17, 1968 (THE MSHMC TRUST); AND TO DO ALL LAWFUL ACTS INCIDENTAL TO THE ACCOMPLISHMENT OF SAID CHARITABLE, EDUCATIONAL, AND SCIENTIFIC PURPOSES.PENN STATE HEALTH PLAYS A VITAL ROLE IN SUPPORTING, BOTH OPERATIONALLY AND FINANCIALLY, THE PENNSYLVANIA STATE UNIVERSITY'S COLLEGE OF MEDICINE. THE PURPOSES OF THE TWO ORGANIZATIONS ARE INTEGRALLY INTERTWINED AND MUTUALLY SUPPORTIVE. PENN STATE HEALTH OFFERS THE COLLEGE OF MEDICINE ADDITIONAL PLATFORMS FOR EDUCATION AND RESEARCH AS WELL AS GENERATES SHARED REVENUE, WHEREAS THE COLLEGE OF MEDICINE OFFERS PENN STATE HEALTH ACCESS TO INNOVATIONS, CLINICAL TRIALS, DISCOVERIES AND A PIPELINE OF CLINICIANS AND SCIENTISTS.IN RECENT YEARS, THE PENN STATE HEALTH SYSTEM HAS UNDERGONE SUBSTANTIAL GROWTH AND MADE SIGNIFICANT PROGRESS TOWARDS CREATING A HIGH-QUALITY, LARGE SCALE INTEGRATED HEALTH CARE DELIVERY SYSTEM TO SERVE THE POPULATION OF SOUTHCENTRAL PENNSYLVANIA, BY FOCUSING ON BUILDING AN ACADEMIC HEALTH SYSTEM SUPPORTED BY A COMMUNITY NETWORK, ANCHORED BY THE ACADEMIC TERTIARY/QUATERNARY CARE RESOURCES OF ITS RELATED ORGANIZATION, MILTON S. HERSHEY MEDICAL CENTER.PENN STATE HEALTH HAS THREE, NOT-FOR-PROFIT, ACUTE CARE HOSPITALS. THE MILTON S. HERSHEY MEDICAL CENTER (MSHMC) IS A 639-LICENSED BED ACADEMIC MEDICAL CENTER LOCATED IN HERSHEY, PENNSYLVANIA. ST. JOSEPH REGIONAL HEALTH NETWORK (SJRHN) IS A 204-LICENCED BED HOSPITAL IN THE BERKS COUNTY REGION. HOLY SPIRIT MEDICAL CENTER (HSMC) WAS ACQUIRED ON NOVEMBER 1, 2020 AND IS A 306-LICENSED BED HOSPITAL IN CUMBERLAND COUNTY. ALL ACUTE CARE HOSPITALS PROVIDE INPATIENT, OUTPATIENT AND EMERGENCY CARE SERVICES.AS OF JUNE 30, 2021, PENN STATE HEALTH HAS TWO ACUTE CARE HOSPITALS THAT ARE UNDER CONSTRUCTION, INCLUDING PENN STATE HEALTH HAMPDEN MEDICAL CENTER WHICH WILL BE A 108-LICENSED BED ACUTE CARE HOSPITAL TO BE LOCATED IN CUMBERLAND COUNTY THAT IS SCHEDULED TO OPEN IN FALL OF 2021 AND PENN STATE HEALTH LANCASTER MEDICAL CENTER WHICH WILL BE A 129-LICENSED BED ACUTE CARE HOSPITAL LOCATED IN LANCASTER. ADDITIONALLY, ON JUNE 23, 2020, PENN STATE HEALTH ESTABLISHED PENN STATE HEALTH LIFE LION, LLC (PHSLL). THE PURPOSE OF PSHLL IS TO PROVIDE EMERGENCY MEDICAL SERVICES INTO A BROADER GEOGRAPHIC REGION. ON DECEMBER 1, 2020 PSHLL BEGAN OPERATIONS.PENN STATE HEALTH AND AFFILIATES (PSH) CORONAVIRUS (COVID-19) PANDEMIC:IN MARCH 2020, THE OUTBREAK OF COVID-19 PANDEMIC BEGAN TO IMPACT PSH'S PATIENTS, COMMUNITIES, AND BUSINESS OPERATIONS. THE SPREAD OF COVID-19 AND THE ENSUING RESPONSE OF FEDERAL, STATE AND LOCAL AUTHORITIES, BEGINNING IN MARCH 2020, RESULTED IN A SIGNIFICANT REDUCTION IN THE NUMBER OF SURGERIES, PHYSICIAN OFFICE VISITS AND EMERGENCY ROOM VOLUMES AT PSH. THIS WAS DUE TO MEASURES MEANT TO SLOW THE SPREAD OF THE VIRUS, INCLUDING QUARANTINES AND STAY-AT-HOME AND SHELTER-IN-PLACE ORDERS, AS WELL AS THE COMMUNITY'S GENERAL CONCERNS RELATED TO THE RISK OF CONTRACTING COVID-19. DUE TO COVID-19, PSH MAY, GOING FORWARD, EXPERIENCE SUPPLY CHAIN DISRUPTIONS, INCLUDING DELAYS AND PRICE INCREASES IN EQUIPMENT, PHARMACEUTICALS AND MEDICAL SUPPLIES DUE TO THE PANDEMIC. STAFFING, EQUIPMENT, AND PHARMACEUTICAL AND MEDICAL SUPPLIES SHORTAGES MAY ALSO INFLUENCE OUR ABILITY TO ADMIT AND TREAT PATIENTS. PSH HAS INCURRED, AND MAY CONTINUE TO INCUR, INCREASED EXPENSES ARISING FROM THE COVID-19 PANDEMIC, INCLUDING ADDITIONAL SUPPLY CHAIN AND OTHER EXPENDITURES.ADDITIONALLY, BROAD ECONOMIC FACTORS RESULTING FROM THE COVID-19 PANDEMIC, INCLUDING HIGH UNEMPLOYMENT AND UNDEREMPLOYMENT LEVELS AND REDUCED CONSUMER SPENDING AND CONFIDENCE, COULD ALSO AFFECT OUR SERVICE MIX, REVENUE MIX, PAYOR MIX AND PATIENT VOLUMES, AS WELL AS OUR ABILITY TO COLLECT OUTSTANDING RECEIVABLES. BUSINESS CLOSURES AND LAYOFFS ACROSS OUR SERVICE AREA MAY, IN FUTURE REPORTING PERIODS, LEAD TO INCREASES IN THE UNINSURED AND UNDERINSURED POPULATIONS AND ADVERSELY AFFECT DEMAND FOR OUR SERVICES, AS WELL AS THE ABILITY OF PATIENTS AND OTHER PAYERS TO PAY FOR SERVICES RENDERED. ANY INCREASE IN THE AMOUNT OR DETERIORATION IN THE COLLECTABILITY OF PATIENTS ACCOUNTS RECEIVABLE COULD ADVERSELY AFFECT PSH'S FINANCIAL RESULTS.FORTUNATELY, THE FEDERAL GOVERNMENT HAS TAKEN SEVERAL ACTIONS TO PROVIDE FINANCIAL ASSISTANCE TO HEALTHCARE PROVIDERS DURING THIS PANDEMIC. PSH HAS RECEIVED, AND MAY CONTINUE TO RECEIVE, PAYMENTS AND ADVANCES UNDER THE CARES ACT OR ANY OTHER GOVERNMENTAL ASSISTANCE PROGRAM, WHICH WILL BE BENEFICIAL IN ADDRESSING THE IMPACT OF THE NOVEL CORONAVIRUS PANDEMIC ON PSH'S RESULTS OF OPERATIONS AND FINANCIAL POSITION. AT THIS TIME, PSH IN UNABLE TO QUANTIFY THE IMPACT THAT THE COVID-19 PANDEMIC WILL HAVE ON THE CONTINUING FINANCIAL RESULTS DURING FISCAL YEAR 2022, AS THE IMPACT OF COVID-10 WILL DEPEND ON FUTURE DEVELOPMENTS, INCLUDING THE DURATION OF THE OUTBREAK AND THE RELATED ADVISORIES AND RESTRICTIONS. HOWEVER, PSH HAS TAKEN, AND WILL CONTINUE TO TAKE, VARIOUS ACTIONS TO INCREASE LIQUIDITY AND MITIGATE THE IMPACT OF REDUCTIONS IN PATIENT VOLUMES AND OPERATING REVENUES FROM THE COVID-19 OUTBREAK.
