THE REMAINING MEMBERS OF THE BOARD OF TRUSTEES, HAVING DISCUSSED THE LOSS OF HOWARD F. WILKINS II, AND HIS VISION, DISCERNED THERE WAS NO VIABLE PATH FORWARD FOR THE ORGANIZATION. DUE TO THE PANDEMIC OF 2020, AND HOWARD'S ILLNESS AND PASSING IN FEB. OF 2021, THERE WAS NO DEVELOPMENT ON THE PROPERTIES PURCHASED IN THE LATTER PART OF 2019 AND NO ADVANCEMENT OF THE POWERED FOODS' MISSION. THUS, THE BOARD OF TRUSTEES, BY UNANIMOUS WRITTEN CONSENT DATED AUG. 9, 2021, AGREED IT IS IN THE BEST INTEREST OF THE ORGANIZATION TO DISPOSE OF ITS ASSETS, PAY ITS DEBTS, AND DISSOLVE THE OHIO 501(C)(3) NONPROFIT CORPORATION.
