KEY BANK, TRUSTEE MAKES DISTRIBUTIONS AS DIRECTED BY THE BOARD OF TRUSTEES, WHO HAS THE AUTHORITY TO MOVE/APPOINT THE TRUSTEE AND WITHDRAW PRINCIPAL. KEY BANK MAINTAINS A RESPONSIVENESS TO THE NEEDS AND ACTIVITIES OF THE BENEFICIARY ORGANIZATION.
